Kimeric Terms of Service

These Terms of Service (the "Terms") are a legal agreement between you and Arith Studio LLC, a Michigan limited liability company ("Arith Studio," "we," "us," or "our"), and govern your access to and use of the Kimeric software application and related services that we provide (together, "Kimeric," the "Software," or the "Service").

Please read these Terms carefully. By creating an account, installing or using the Software, or clicking to confirm that you have read and accept these Terms, you agree to be bound by them. If you do not agree, do not install or use Kimeric.

Your use of Kimeric is also governed by our Acceptable Use Policy and our Privacy Policy, each of which is incorporated into these Terms by reference. If there is a conflict between these Terms and the Acceptable Use Policy regarding permitted conduct, the Acceptable Use Policy controls for that subject.

If you are a consumer, nothing in these Terms limits or excludes any right or remedy that the mandatory consumer-protection laws of your country of residence give you and that cannot be limited or excluded by agreement. Where these Terms conflict with such a mandatory right, the mandatory right controls.

1. What Kimeric is

Kimeric is software that runs on your own computer and helps you turn a screenplay into an AI-generated short film. Kimeric does not itself generate images, video, or text. Instead, it coordinates ("orchestrates") requests to third-party artificial-intelligence providers, which perform the actual generation. You connect those providers using your own accounts and keys, as described in Section 5.

Because Kimeric runs locally and operates through your own provider accounts, the material you work with — your screenplays, the prompts the Software builds, and the images and video you generate — is created and stored on your own computer. We do not host, store, receive, or access that material.

2. Eligibility

You may use Kimeric only if you are at least 18 years old (or the age of majority where you live, if higher) and are able to form a binding contract.

Kimeric is available internationally, but not everywhere. Because Arith Studio is a United States company, we may not offer Kimeric in jurisdictions subject to comprehensive U.S. sanctions or embargoes, or to persons on U.S. government restricted-party lists. You may not access or use Kimeric if you are located in, ordinarily resident in, or accessing it from any such jurisdiction — currently including Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Crimea, Donetsk, and Luhansk regions of Ukraine — or if you are a person on a U.S. restricted-party list. We may restrict, geofence, or block access from any jurisdiction where we determine, in our reasonable judgment, that we cannot lawfully or practically offer Kimeric, and we may add or change available regions over time. Section 20 contains your related export-control and sanctions representations.

You are also responsible for confirming that your use of Kimeric, and of the third-party AI providers you connect (Section 5), is lawful where you live. The providers set their own regional availability, which we do not control.

3. Your account

To use Kimeric you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us promptly at support@kimeric.ai of any unauthorized use of your account. You may not share your account, create an account for anyone else, or create an account if we have previously terminated your access. We may use an identifier such as your IP address or a device identifier to enforce one account per subscription and prevent abuse.

4. License to use the Software

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use the Software on a computer that you own or control, solely for your own creative or internal business purposes.

You may not, and may not allow anyone else to: (a) copy, sell, rent, lease, distribute, sublicense, or otherwise make the Software available to others; (b) modify, translate, or create derivative works of the Software; (c) reverse engineer, decompile, or attempt to derive the source code of the Software, except to the limited extent applicable law expressly permits despite this restriction; (d) remove or alter any proprietary notices; or (e) circumvent any license, access, usage, or security control, or use the Software in violation of these Terms or the Acceptable Use Policy. All rights not expressly granted to you are reserved by us and our licensors. Any unauthorized use ends the license granted in this Section.

We may release updates to the Software, and certain features may require you to install them. You may need to keep third-party software (such as your operating system or browser) up to date to use Kimeric.

You are responsible for providing and maintaining the computer, operating system, storage, and other equipment and resources needed to install and run Kimeric and to store and use what you create with it. Because Kimeric runs on your own computer and we do not host or store your content, you are responsible for ensuring that you have sufficient storage capacity and system resources, and for backing up your own files. We are not responsible for any inability to generate, store, or use content, or for any loss of or damage to your files, that results from insufficient storage or system resources, hardware or software failure, or your failure to maintain backups.

5. Third-party AI providers and your API keys

Kimeric works by connecting to third-party AI providers — for example, Anthropic, Google, OpenAI, Kling, WaveSpeed, and Topaz (each, a "Provider"). Your use of Providers through Kimeric is subject to the following, which are central to how Kimeric operates:

  • You provide and pay for your own Provider access. You are responsible for obtaining and maintaining your own accounts and API keys with each Provider you use, and for paying each Provider directly for your usage. We do not resell Provider access, and the fees you pay us for Kimeric do not include any Provider charges.
  • You are responsible for securing and configuring your keys. You are responsible for keeping your Provider API keys secure and for configuring your Provider accounts, including setting any spending limits, rate limits, usage caps, and alerts you want. Because your keys remain on your own computer and never reach us, we cannot access, secure, rotate, cap, or monitor them. To the fullest extent permitted by law, we are not responsible for any loss, exposure, unauthorized use, or charges resulting from your handling or configuration of your keys or Provider accounts — for example, if a key is lost, leaked, or compromised, or if your usage exceeds what you intended because you did not set appropriate limits.
  • We never receive your keys or your Provider payments. Your Provider keys are stored on your own computer and are sent only from your computer to the applicable Provider. We do not receive, store, log, relay, or otherwise process your Provider keys, and we do not pay Providers on your behalf or have access to your Provider billing. You authorize the Software to use your keys, on your computer, to make the requests you initiate.
  • You are responsible for your Provider usage and charges. You are solely responsible for all activity, usage, and charges incurred under your Provider accounts in connection with your use of Kimeric, including any costs that result from the volume of content you generate. We are not responsible for, and have no ability to control or refund, any Provider charges.
  • You must comply with each Provider's terms. Each Provider has its own terms of service and usage and content policies, and each Provider independently applies its own content moderation and may restrict, suspend, or terminate your access to it. You agree to comply with the terms and policies of every Provider you connect.
  • Providers are outside our control. Providers may change, limit, price, suspend, or discontinue their services, models, or APIs at any time, and may restrict availability in particular countries or regions. If a Provider does so, some Kimeric features may stop working or change, and we are not responsible for any resulting unavailability, loss, or cost. We do not endorse or warrant any Provider or its outputs.

6. Your content: inputs and outputs

"Inputs" means the screenplays, descriptions, images, and other material you provide to or use with Kimeric. "Outputs" means the images, video, and other content you generate using Kimeric.

  • We claim no ownership, and take no license. As between you and us, you retain whatever rights you have in your Inputs and Outputs. Because your Inputs and Outputs stay on your own computer and never reach us, we do not receive them, we claim no ownership of them, and you grant us no license to them.
  • We do not train on your content. We do not use your Inputs or Outputs to train, develop, or improve any artificial-intelligence model.
  • You are responsible for your content and your rights. You represent and warrant that you own or have all rights, licenses, and permissions necessary to use your Inputs with Kimeric and the Providers, and that your Inputs, Outputs, and use of Kimeric do not violate these Terms, the Acceptable Use Policy, any law, or the rights of any person.
  • You are responsible for legally required disclosures. Some jurisdictions require AI-generated or AI-manipulated content to be labeled or disclosed as such when it is shared or published — for example, rules addressing synthetic depictions of real people ("deepfakes"), including under the European Union's Artificial Intelligence Act. You are responsible for complying with any such labeling, disclosure, or transparency requirement that applies to your Outputs and your use of them.
  • We make no promises about rights in Outputs. Outputs are generated by AI through your Provider accounts. We do not represent or warrant that any Output is original, is free of third-party rights, can be owned or protected by you (including by copyright), or may be used for any particular purpose. The legal status of AI-generated content is unsettled and varies, and each Provider's own terms may affect rights in Outputs generated through it. You are responsible for reviewing each Provider's terms and for ensuring that your use of any Output is lawful and does not infringe the rights of others.

7. Acceptable use

Your use of Kimeric must at all times comply with our Acceptable Use Policy, which is part of these Terms. Among other things, it prohibits using Kimeric to create or facilitate unlawful content, content that sexualizes minors, non-consensual or deceptive use of a real person's likeness or voice, and content that infringes others' rights, and it prohibits using Kimeric to circumvent any Provider's safety systems. Violating the Acceptable Use Policy is a violation of these Terms.

8. Content moderation; no monitoring

We do not host, monitor, pre-screen, or have access to the content you create with Kimeric, because it stays on your own computer. Proactive content moderation is performed primarily by the Providers, through their own systems, and, where a Provider returns a moderation result, Kimeric surfaces it to you. Kimeric may also run an advisory, non-blocking check of its own (for example, flagging that a generated character's face may resemble a real public figure); any such result is informational only and does not relieve you of responsibility for complying with these Terms and the Acceptable Use Policy. The fact that we do not monitor your content does not waive any term and does not make us responsible for your content or use.

9. Subscriptions, fees, and payment

Kimeric is offered on a paid subscription basis. The applicable fees, billing period, and any free trial or promotional terms are presented to you at sign-up and on our website.

  • Payment processor. Payments are processed by a third-party payment provider, not by us. We do not receive or store your full payment card details. Your use of that payment provider may be subject to its own terms, and where the payment provider acts as a merchant of record, it is the seller of record for your purchase and is responsible for collecting and remitting applicable sales tax, VAT, GST, or similar transaction taxes.
  • Taxes. Unless we state otherwise, our prices are shown exclusive of taxes. Where applicable, taxes such as VAT or GST are calculated based on your location and shown at checkout before you confirm your purchase. You are responsible for any taxes associated with your purchase that are not collected by the payment provider.
  • Automatic renewal. Unless stated otherwise at sign-up, subscriptions automatically renew at the end of each billing period at the then-current fee, until you cancel. By subscribing, you authorize recurring charges through the payment provider until you cancel.
  • Cancellation. You may cancel at any time as described in your account, through the cancellation page on our website, or by contacting support@kimeric.ai. Cancellation stops future renewals; you will generally retain access through the end of your current paid period.
  • Refunds. Refunds are governed by our Refund Policy and applicable law. Except as stated there or required by law, fees are non-refundable, and you are not entitled to a refund or credit for any partial period.
  • Consumers in the EEA and United Kingdom — right of withdrawal. If you are a consumer in the European Economic Area or the United Kingdom, you have a statutory right to withdraw from your purchase within 14 days without giving a reason. At checkout we ask for your express request that the Service begin immediately; where you give it, you may lose the right of withdrawal to the extent the law provides once performance has begun, or you may owe a proportionate amount for the period before you withdrew. Our Refund Policy explains this in detail, includes the model withdrawal form, and — independently of your statutory rights — gives you a full 14-day money-back guarantee on your first payment, which will usually be at least as favorable as the statutory right. Nothing in these Terms limits your statutory withdrawal rights.
  • Price changes. We may change our fees or subscription terms on a going-forward basis. We will provide notice as required by law (including, where required, advance notice by email), and your continued use after a change takes effect constitutes acceptance of the new fees. If you do not agree to a price change, you may cancel before it takes effect.

10. Beta service

Kimeric is currently offered as a beta. This means the Service is still in development, is provided on an "as is" and "as available" basis, may contain errors or interruptions, and may be changed, limited, suspended, or discontinued at any time without liability to you. Features available during the beta may not be available later, and vice versa. This Section does not limit any non-waivable statutory right you have as a consumer, including any legal guarantee of conformity that applies in your country.

11. Changes to the Service

We may modify, add, or remove features of Kimeric, or change how it works, at any time. We may also suspend or discontinue Kimeric, in whole or in part. We will try to give reasonable notice of material changes where practicable, but we are not required to. If you are a consumer in a jurisdiction that requires notice of, or gives you termination rights for, material adverse changes to an ongoing service, we will honor those requirements.

12. Our intellectual property

Kimeric, the Software, and all related materials, and all intellectual property rights in them, are owned by us and our licensors. Except for the limited license granted in Section 4, these Terms do not grant you any right, title, or interest in Kimeric, our trademarks, or our other intellectual property. If you send us feedback or suggestions, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use them without restriction or obligation to you.

13. Intellectual-property and misuse complaints

If you believe content created using Kimeric infringes your intellectual property or violates your rights (including your likeness rights), or that someone is using Kimeric in violation of the Acceptable Use Policy, please contact us at support@kimeric.ai with enough detail for us to understand and act on the report. We may suspend or terminate the accounts of users who infringe or who repeatedly infringe the rights of others. Because we do not host user content, our action is at the level of access to Kimeric; we generally cannot remove content from a user's own computer or from a Provider.

14. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, KIMERIC AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (a) KIMERIC WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE; (b) ANY OUTPUT WILL BE ACCURATE, APPROPRIATE, UNIQUE, OR FREE OF THIRD-PARTY RIGHTS — OUTPUTS ARE GENERATED BY AI, MAY BE UNEXPECTED OR OFFENSIVE, AND SIMILAR OUTPUTS MAY BE GENERATED FOR OTHERS; OR (c) THE PROVIDERS OR ANY OTHER THIRD-PARTY SERVICES WILL BE AVAILABLE, COMPATIBLE, OR FIT FOR YOUR PURPOSES. YOU ARE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE RELYING ON OR USING THEM. NO ADVICE OR INFORMATION OBTAINED FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you. If you are a consumer in the European Economic Area or the United Kingdom, you benefit from any legal guarantee of conformity for digital content and digital services provided by your local law, and this Section does not exclude or limit that guarantee or our responsibility under it.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR PROVIDER COSTS, ARISING OUT OF OR RELATING TO KIMERIC OR THESE TERMS, ON ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO KIMERIC OR THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW — INCLUDING, WHERE APPLICABLE LAW SO PROVIDES, LIABILITY FOR DEATH OR PERSONAL INJURY, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR INTENT OR GROSS NEGLIGENCE. IF YOU ARE A CONSUMER, YOU MAY HAVE RIGHTS THAT THIS SECTION CANNOT LIMIT, AND NOTHING IN IT IS INTENDED TO LIMIT THEM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. THESE LIMITATIONS ARE A FUNDAMENTAL BASIS OF THE AGREEMENT BETWEEN US.

16. Indemnification

You agree to indemnify and hold harmless Arith Studio and its members, officers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Inputs, Outputs, or use of Kimeric; (b) your use of any Provider or your Provider accounts; (c) your violation of these Terms or the Acceptable Use Policy; or (d) your violation of any law or the rights of any person. We may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us. If you are a consumer, this Section applies only to the extent permitted by the law of your country of residence.

17. Suspension and termination

You may stop using Kimeric and cancel your subscription at any time. We may suspend or terminate your account and access to Kimeric, with or without notice, if you violate these Terms or the Acceptable Use Policy, if required by law (including sanctions and export-control law), or if we discontinue the Service.

On termination, your license to use the Software ends and you must stop using it. Because your Inputs and Outputs are stored on your own computer, termination does not delete them; you remain responsible for them, and you will lose access to the Software, updates, and your subscription. Sections that by their nature should survive termination — including Sections 5 through 6 and 12 through 20 — will survive.

18. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Subject to the rest of this Section, the state and federal courts located in Oakland County, Michigan will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or Kimeric, and you consent to personal jurisdiction there.

If you are a consumer, this choice of law and venue does not deprive you of the protection of mandatory legal provisions of the country where you habitually reside, and it does not limit any right you have under those provisions to bring proceedings in the courts of that country. Consumers in the European Economic Area and the United Kingdom may also have the benefit of local mandatory consumer-protection law and may bring claims in their local courts where the law so provides.

Before filing any claim, you agree to first contact us at support@kimeric.ai and attempt in good faith to resolve the dispute informally for at least 30 days.

19. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated Terms and revise the effective date above, and we will provide additional notice where required by law (including, for material changes, notice by email or within Kimeric where required). Changes are effective when posted unless we say otherwise. If you continue to use Kimeric after the changes take effect, you accept the updated Terms. If you do not agree, you must stop using Kimeric and may cancel your subscription.

20. General

  • Entire agreement. These Terms, together with the Acceptable Use Policy, Privacy Policy, and Refund Policy, are the entire agreement between you and us regarding Kimeric and supersede any prior agreements on that subject.
  • Severability. If any provision is held unenforceable, the rest remains in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
  • No waiver. Our failure to enforce any provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, sale of assets, or by operation of law.
  • Force majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control.
  • Electronic communications. You consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing.
  • Export and sanctions. Kimeric is subject to U.S. export-control and sanctions laws, and may also be subject to the export and import laws of other countries. You represent and warrant that: (a) you are not located in, ordinarily resident in, or organized under the laws of any country or region subject to a comprehensive U.S. embargo (currently Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b) you are not identified on, or majority-owned or controlled by anyone identified on, any U.S. government restricted-party list, including the Treasury Department's Specially Designated Nationals and Blocked Persons List; and (c) you will not use, export, re-export, or transfer Kimeric in violation of any applicable export-control or sanctions law. Your access may be blocked, suspended, or terminated to comply with these laws.
  • Notices and contact. We may provide notices to you by email or within Kimeric. You may contact us at support@kimeric.ai.

By using Kimeric, you acknowledge that you have read and agree to these Terms.
